We are a blank check company newly incorporated as a Cayman Islands exempted company incorporated for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses or entities. We have not selected any business combination target, and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any business combination target. Our ability to complete our initial business combination may be impacted by the availability of financing, prevailing market conditions, and the regulatory environment, including recently adopted SEC rules applicable to special purpose acquisition companies. --- While we may pursue an acquisition opportunity at any stage of development and in any industry or geography, we intend to focus our search on opportunities involving direct investments in real estate and infrastructure assets, particularly within the energy, telecommunications, and transportation sectors, where we believe our management team has a competitive advantage due to their prior experience and expertise. On the real estate side, our strategy is to acquire or invest in high-quality, income-generating assets and operating businesses across these sectors. This includes a broad range of commercial and residential real estate, such as office buildings, multi-family housing, retail centers, industrial warehouses, hospitality properties, self-storage facilities, medical and senior housing, and logistics and cold storage assets. On the infrastructure side, we are targeting essential assets and businesses involved in or supporting the development, ownership, and operation of oil and gas fields, pipelines, storage terminals, energy grids, power generation and transmission assets, telecommunications networks, and transportation systems such as ports, toll roads, and intermodal logistics hubs.
