Item 1.01
Entry into a Material Definitive Agreement.

On May 24, 2023, U.S. Physical Therapy, Inc. (the Company) entered into an underwriting agreement (the Underwriting Agreement) with BofA Securities, Inc. and J.P. Morgan Securities LLC, as representatives (the Representatives) of the several underwriters named therein (the Underwriters), to issue and sell 1,666,667 shares of common stock, par value $0.01 per share (the Common Stock), to the Underwriters at a price of $85.50 per share in connection with an underwritten public offering (the Offering) pursuant to the Companys shelf registration statement on Form S-3 (Registration No. 333-272147), filed with the Securities and Exchange Commission (the “Commission”) and automatically effective on May 23, 2023 at an Offering price of $90.00 per share. The Company expects the net proceeds from the Offering to be approximately $142.3 million, after deducting estimated fees and expenses. The Company has also granted the Underwriters a 30-day option to purchase up to an additional 250,000 shares of Common Stock. The Offering is expected to close on May 30, 2023, subject to customary closing conditions. The Company intends to use the net proceeds of this Offering for repayment of a portion of its indebtedness outstanding under its revolving credit facility, and for general corporate purposes, including future acquisitions and other capital expenditures, as well as funding working capital and paying dividends.

The Underwriting Agreement contains customary representations, warranties and agreements by the Company and customary conditions to closing, obligations of the parties and termination provisions. Additionally, the Company has agreed to indemnify the Underwriters against certain liabilities, including liabilities under the Securities Act, or to contribute to payments the Underwriters may be required to make because of any of those liabilities. Furthermore, the Company has agreed with the Underwriters not to offer or sell any shares of its Common Stock (or securities convertible into or exchangeable for Common Stock), for a period of 90 days after the date of the Underwriting Agreement without the prior written consent of the Representatives.
