Item 5.02         Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 29, 2022, Robert E. Mittelstaedt, Jr. notified the Board of Directors of Innovative Solutions and Support, Inc. (the “Company”) of his resignation as a director of the Company, effective as of April 29, 2022. Mr. Mittelstaedt’s resignation was not the result of any dispute or disagreement with the Company or the Company’s Board of Directors on any matter relating to the operation, policies, or practices of the Company.
