Item 8.01. Other Events.

On June 26, 2019, HSBC announced that Kavita Mahtani has been appointed Chief Financial Officer, HSBC North America Holdings Inc. (HNAH). In this role, she will be responsible for the financial operations of HNAH and all its subsidiaries, including HSBC USA Inc. and HSBC Bank USA, N.A. The appointment is effective October 1, 2019.

A copy of HNAH’s press release is attached as exhibit 99.1.
