Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 6, 2024, Jamie E. Palm, Vice President, Chief Accounting Officer and Corporate Controller of Astec Industries, Inc. (the "Company"), gave notice of her intention to resign from the Company in order to pursue another opportunity, effective December 27, 2024. Ms. Palm’s departure is not the result of a disagreement with the Company on any matter related to the Company’s financial statements, operations, policies or practices or any issues regarding accounting policies or practices.

Brian J. Harris, the Company's current Chief Financial Officer and the Company's principal financial officer, will assume the role of the Company’s principal accounting officer following the effective date of Ms. Palm’s resignation. Mr. Harris’ full biography and other information required by Item 5.02(c) of Form 8-K are included in the Company’s Current Report on Form 8-K, filed with the Securities and Exchange Commission on October 7, 2024, and such information is incorporated herein by reference.
