Explanatory Note

This Amendment No. 1 to the Form 8-K filed on May 3, 2022 (the "Original 8-K") is filed to report an update to the information reported in the Original 8-K.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 27, 2022, Susan R. Ralston notified Old Point Financial Corporation (the “Company”) of her decision to resign as Chief Operating Officer and Executive Vice President of The Old Point National Bank of Phoebus (the “Bank”), the Company’s wholly-owned national bank subsidiary, to be effective on or about June 3, 2022.

On June 7, 2022 the Company and Ms. Ralston agreed that Ms. Ralston will not resign. Ms. Ralston will remain in her position as Chief Operating Officer and Executive Vice President of the Bank, on unchanged terms. The Company and the Bank are grateful for Ms. Ralston's continued service.
