Item 8.01

Other Events.

On July 22, 2020, The New York Times Company (the “Company”) announced that it would acquire Serial Productions, the company that produces the Serial podcast. In addition to the acquisition, the Company also announced that it had entered into an ongoing creative and strategic alliance with weekly public radio program “This American Life.” The terms of the transaction were not disclosed.

A copy of the Company’s press release dated July 22, 2020, announcing the transaction is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
