Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 25, 2020, Patrick E. Miller resigned as a director of Federal Signal Corporation (the “Company”).
As a result of his resignation as a director of the Company, Mr. Miller withdrew as a director nominee for election at the Company’s Annual Meeting of Stockholders to be held on April 21, 2020. As a result of Mr. Miller’s resignation and withdrawal as a director nominee, any votes that are submitted with respect to Mr. Miller’s nomination will be disregarded.
Mr. Miller’s resignation was not the result of any dispute or disagreement with the Company or its Board of Directors (the “Board”) on any matter relating to the operations, policies or practices of the Company.
The Board thanked Mr. Miller for his service and valuable contributions as a director and reduced its size from eight to seven directors, effective immediately.
