In connection with the offering of $1,059,520,000 principal amount of Asset Backed Notes (the “Offered Notes”) by Mercedes-Benz Auto Lease Trust 2025-A and the issuance of the Offered Notes on May 21, 2025, attached as exhibits hereto are legality and tax matters opinions relating to such issuance.
