Item 1.01         Entry into a Material Definitive Agreement

 

The Company’s Receivables Purchase Agreement, dated June 30, 2000, among Graybar Commerce Corporation, as Seller; Graybar Electric Company, Inc., as Servicer; Falcon Asset Securitization Corporation, as Conduit; and JPMorgan Chase Bank NA (successor by merger to Bank One, NA), as Agent and the sole financial institution, was renewed for a period of 364 days, effective as of October 8, 2010. 

The amendment reduced the effective variable interest rates and certain other fees potentially applicable to borrowings under the facility and the minimum permitted delinquency ratio under the facility and otherwise updated or modified specified terms and conditions under the facility.
