Item 3.02.    Unregistered Sales of Equity Securities.

As of February 1, 2025, Goldman Sachs Private Credit Corp. (the “Company”) sold unregistered Class I shares (“Shares”) (with the final number of Shares being determined on February 20, 2025). The offer and sale of the Shares was exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”), pursuant to Section 4(a)(2) thereof, Regulation D thereunder and/or Regulation S thereunder. The following table details the Shares sold:

The sale of Shares was made pursuant to subscription agreements entered into by the Company and the purchasers thereof. The Company relied, in part, upon representations from the purchasers in the subscription agreements that each purchaser was an accredited investor (as defined in Regulation D under the Securities Act) and/or Non-U.S. Person (as defined in Regulation S under the Securities Act).

Item 7.01.    Regulation FD Disclosure.

January 2024 Distribution

On November 7, 2024, the Board of Directors of the Company declared a regular distribution per share with respect to the Shares for the month of January 2024 (the “January Distribution”).

The January Distribution is payable on or about February 27, 2025 to stockholders of record as of the open of business on January 31, 2025. The January Distribution will be paid in cash or reinvested in Shares for stockholders participating in the Company’s distribution reinvestment plan.

Total return based on NAV is calculated as the change in NAV per share during the applicable period, plus distributions per share during the applicable period (assuming distributions are reinvested in accordance with the Company’s distribution reinvestment plan). Performance calculations for inception-to-date total return based on NAV began on April 6, 2023, the date the Company commenced operations. Returns for periods greater than one year are annualized.

As of January 31, 2025, the Company’s NAV was approximately $5.5 billion. The NAV per share as of January 31, 2025, as determined in accordance with the Company’s valuation policy, is set forth below.
