Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On August 1, 2024, the Board of Trustees of BlackRock Private Credit Fund (the “Company”) approved the Second Amended & Restated By-Laws of the Company, for the sole purpose of updating requirements relating to the availability of the list of stockholders to better align with current requirements of Delaware law. The amended bylaws are filed with this Current Report on Form 8-K as Exhibit 99.1 hereto.
