Item 8.01. Other Events.
On January 17, 2025, PHP Ventures Acquisition Corp., a Delaware corporation (the “Company”), issued a press release announcing that it caused to be deposited $4,770.70 into the Company’s trust account for its public stockholders (the “Trust Account”) on January 16, 2025, allowing the Company to extend the date by which the Company may consummate an initial business combination by one month (the “Extension”) from January 16, 2025 to February 16, 2025. This Extension is permitted under the Company’s governing documents.
A copy of the press release is attached as Exhibit 99.1, which is incorporated herein by reference.
