Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On December 15, 2022, the Amended and Restated Bylaws (the “Bylaws”) of Semrush Holdings, Inc., (the “Company”) were amended and restated in their entirety (the “Second Amended and Restated Bylaws”) by the Company’s Board of Directors (the “Board”), in accordance with the Bylaws. The Bylaws were amended and restated to provide that the Company’s lead independent director, if one is designated, has the authority to call meetings of the Board. The Second Amended and Restated Bylaws are effective December 15, 2022.

The foregoing description of the Second Amended and Restated Bylaws is qualified in its entirety by reference to the Second Amended and Restated Bylaws, a copy of which is attached to this Current Report on Form 8-K as Exhibit 3.2 and is incorporated herein by reference.
