Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 6, 2022, Reed Fawell, Senior Vice President & Chief Revenue Officer of FiscalNote Holdings, Inc. (the “Company”), notified the Company of his intention to resign from his position with the Company in order to spend more time with family. He has agreed to remain employed with the Company through October 31, 2022 to assist with the transition of his role while the Company seeks a replacement. The Company is grateful to Mr. Fawell for his outstanding service over the past several years.
