Explanatory Note

This Form 8-K/A amends the Form 8-K filed by Tiga Acquisition Corp. (“Tiga”) on September 14, 2022 (the “Original 8-K”) in connection with its announcement of an investor presentation dated September 2022 (the “Investor Presentation”), that will be used by Tiga in meetings with certain of its shareholders as well as other persons with respect to the proposed business combination pursuant to that certain Agreement and Plan of Merger, dated as of May 9, 2022, by and among Tiga, Tiga Merger Sub LLC, a Delaware limited liability company and wholly owned subsidiary of Tiga, and Grindr Group LLC, a Delaware limited liability company, and related matters under Item 7.01 of Form 8-K. Tiga is furnishing this Form 8-K/A for the sole purpose of providing certain corrections to the Investor Presentation. No other changes to the Original 8-K have been made.

Exhibit 99.1 is amended by correcting certain errors on slide 33. The corrected version of Exhibit 99.1 is attached hereto and supersedes Exhibit 99.1 to the Original 8-K in its entirety.
