Item 3.02 – Unregistered Sales of Equity Securities.
On April 3, 2025, the Company issued 1,125,087 shares of its common stock to Allegheny Manufacturing LLC (“Allegheny”) in settlement of outstanding invoices in the aggregate amount of $567,943.66, plus an additional 37,000 shares of its common stock for fees incurred by Allegheny. The shares were issued pursuant to Section 3(a)(10) of the Securities Act.
