Item 5.07    Submission of Matters to a Vote of Security Holders.
On June 15, 2021, MP Materials Corp., a Delaware corporation (the “Company”), held its Annual Meeting of Stockholders (the “Annual Meeting”).
At the Annual Meeting, the stockholders of the Company: (i) elected two Class I directors to serve until the 2024 Annual Meeting of Stockholders; and (ii) ratified the appointment of KPMG LLP as the Company’s independent registered public accounting firm for the 2021 fiscal year.
Proposal One. Election of two Class I directors to serve until the 2024 Annual Meeting of Shareholders. The final vote tabulation for each of the individual directors was as follows:
