Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On June 19, 2024, the Board of Directors of Clover Health Investments, Corp. (the “Company”) unanimously adopted the Second Amended and Restated Bylaws of the Company (the “Bylaws”), effective immediately, in order to modify the definition of “Acting in Concert” contained therein.
