Item 5.03

Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Amended and Restated Bylaws

On May 31, 2022, the board of directors (the “Board”) of Aterian, Inc. (the “Company”) approved the Third Amended and Restated Bylaws of the Company (the “Bylaws”), effective immediately. The Second Amended and Restated Bylaws were amended to reduce the quorum necessary to transact business at the Company’s stockholder meetings from a majority in voting power of the capital stock issued and outstanding and entitled to vote to one-third (1/3) in voting power of the shares of capital stock issued and outstanding and entitled to vote.

The foregoing summary of the changes effected by the Bylaws does not purport to be complete and is qualified in its entirety by reference to the complete text of the Bylaws, which is filed herewith as Exhibit 3.1 and incorporated herein by reference.
