The following is added after the ninth sentence of the section entitled “Management, Advisory and Other Service
Arrangements—Credit Agreement” or “Management and Advisory Arrangements—Credit Agreement,” as applicable, in Part I of each Fund’s Statement of Additional Information:
Such variable interest rate may be based on the London Interbank Offered Rate (“LIBOR”) plus a spread. In 2017, the head of the United
Kingdom’s Financial Conduct Authority announced a desire to phase out the use of LIBOR by the end of 2021. Pursuant to the terms of the Credit Agreement, if among other things a “LIBOR Unavailability Event” (as defined in the Credit
Agreement) occurs, the interest rate on a borrowing will be determined without reference to LIBOR.
