This Amendment No. 1 to Current Report on Form 8-K amends Item 9.01 of the Current Report on Form 8-K originally filed on July 5, 2023, to present certain unaudited pro forma financial information in connection with the general assignment by Romeo Power, Inc. on June 30, 2023 (the "Assignment").

The unaudited pro forma condensed consolidated balance sheet as of March 31, 2023, and unaudited pro forma condensed consolidated statements of operations for the year ended December 31, 2022 and for the three months ended March 31, 2023 reflecting the Assignment are filed as exhibit 99.1 hereto.
