Item 1.01 Entry into a Material Definitive Agreement

On November 28, 2018, Las Vegas Xpress, Inc. (the "Company") entered into an agreement with First Transit Group, the American subsidiary of UK based First Group, to operate the X Train, the first luxury train to connect Southern California and Las Vegas in over 20 years. First Transit will handle the operation of the X Train and will provide equipment maintenance services related to the operation. This agreement shall commence on the effective date and shall continue for ten years. The service would run on existing rail lines between a station in Las Vegas and the Santa Fe Depot in San Bernardino, California.
