Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On November 6, 2023, our Board of Directors approved amended and restated bylaws (the “Fifth Amended and Restated Bylaws”), which became effective the same day. The amendment amends the Company’s advance notice provisions to address matters relating to the SEC’s adoption of the universal proxy rules in Rule 14a-19 of the Securities Exchange Act of 1934, as amended. The foregoing description is not complete and is qualified in its entirety by reference to the full text of the Fifth Amended and Restated Bylaws, a copy of which is attached as Exhibit 3.1 hereto and is hereby incorporated by reference.
