Item 5.07 Submission of Matters to a Vote of Security Holders.
Merchants Bancorp (the “Company”) held its Annual Meeting of Shareholders on May 20, 2021. Matters voted upon were:
(1) | election of nine (9) directors to the Company’s Board of Directors; and |
(2) | ratification of the appointment of BKD, LLP as the independent registered public accounting firm of the Company for the fiscal year ending December 31, 2021. |
The final number of votes cast for, against or withheld, as well as the number of abstentions and broker non-votes, with respect to each matter are set forth below.

Item 8.01 Other Events.
On May 21, 2020, the Company issued a press release announcing that the Company’s Board of Directors declared the following quarterly cash dividends:
· | $0.09 per share on the Company’s outstanding shares of its common stock; |
· | $0.4375 per share on the Company’s outstanding shares of its 7% Series A preferred stock; |
· | A dividend of $15.00 per share (equivalent to $0.375 per depositary share) on the Company’s outstanding shares of its 6% Series B preferred stock; |
· | An initial dividend of $16.3366 per share (equivalent to $0.4084 per depositary share) on the Company’s outstanding shares of its 6% Series C preferred stock that were issued on March 23, 2021; and |
· | An initial dividend of $9.1685 per share (equivalent to $0.2292 per depositary share), on the Company’s outstanding shares of its 6% Series C preferred stock that were issued in a private placement on May 6, 2021. |
Each of the dividends are payable on July 1, 2021 to shareholders of record on June 15, 2021. The press release has been attached as Exhibit 99.1 to this Current Report on Form 8-K.
