Explanatory Note

This Form 8-K/A amends the Current Report on Form 8-K (the “Original Form 8-K”), dated and filed as of September 26, 2014, with respect to COMM 2014-LC17 Mortgage Trust. The purpose of this amendment is (1) to file the executed versions of the agreements filed as Exhibits 1.1, 4.1, 99.1, 99.2, 99.3, 99.4 and 99.5 to the Form 8-K and (2) to make any clerical and other minor revisions to the versions of Exhibits 1.1, 4.1, 99.1, 99.2, 99.3, 99.4 and 99.5 that were previously filed.  No other changes have been made to the Original Form 8-K other than the changes described above.
