On July 12, 2021, Performance Food Group Company issued a press release to announce that its indirect subsidiary, Performance Food Group, Inc., had upsized and priced an offering of $1.0 billion in aggregate principal amount of senior notes due 2029 (the “notes”). A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein. The notes have not been registered under the Securities Act of 1933, as amended, and may not be offered or sold in the United States without registration or an applicable exemption from the registration requirements.
