Item 2.02

Results of Operations and Financial Condition

On February 27, 2025, Xenon Pharmaceuticals Inc. (the “Company”) announced via press release the Company’s financial results for the year ended December 31, 2024. A copy of the Company’s press release is attached hereto as Exhibit 99.1. The information in Item 2.02 of this Form 8-K and the attached exhibit are furnished to, but not filed with, the Securities and Exchange Commission.

Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 24, 2025, Ms. Sherry Aulin notified the Company of her decision to resign as Chief Financial Officer, effective June 30, 2025, for personal reasons. Ms. Aulin’s decision was not related to any disagreement or dispute with the Company relating to the Company’s financial statements, internal controls, operations, policies or practices. The Company has begun a formal search for her replacement.

The Company has entered into a Consulting Agreement with Ms. Aulin (the “Consulting Agreement”), pursuant to which she will provide certain advisory services to the Company following the effective date of her resignation through August 31, 2025. As consideration for such services, Ms. Aulin will receive cash compensation at an hourly rate generally consistent with her prior compensation level. Ms. Aulin's equity awards outstanding as of June 30, 2025 will continue to vest through August 31, 2025, or such earlier date as the Consulting Agreement terminates, and the period during which Ms. Aulin shall be permitted to exercise her vested equity awards will continue for 90 days following the termination of the Consulting Agreement.

The foregoing description of the Consulting Agreement does not purport to be complete and is qualified in its entirety by reference to the Consulting Agreement, which will be filed as an exhibit to the Company's Annual Report on Form 10-K for the year ended December 31, 2024.
