Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective as of February 3, 2022, Beverly Allen was appointed to the board of directors of Intapp, Inc. (the “Company”). Ms. Allen will serve as a Class II director whose term will expire at the Company’s 2022 annual meeting of stockholders. As of the time of the filing of this Current Report on Form 8-K, the Board has not determined the committees, if any, to which Ms. Allen will be appointed.
Ms. Allen will be entitled to receive compensation from the Company for her service as a director in accordance with the Company’s non-employee director compensation policy (the “Non-Employee Director Compensation Policy”) as described in the Company’s 2021 proxy statement filed with the Securities and Exchange Commission on October 5, 2021. Further information regarding stock-based awards under the Non-Employee Director Compensation Policy is included in Exhibit 10.5 to the Company’s Annual Report on Form 10-K for the year ended June 30, 2021 filed with the Securities and Exchange Commission on September 15, 2021.
In connection with her appointment to the Board, Ms. Allen has entered into the Company’s standard form of indemnification agreement with its directors and officers, a copy of which was filed as Exhibit 10.9 to the Company’s Registration Statement on Form S-1 (File No. 333-256812) filed with the Securities and Exchange Commission on June 24, 2021.
There are no arrangements or understandings between Ms. Allen and any other person pursuant to which Ms. Allen was elected as a director. Ms. Allen does not have any family relationships with any of the Company’s directors or executive officers, and she does not have a direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.

On February 9, 2022, the Company issued a press release announcing the appointment of Ms. Allen to the Company’s board of directors, a copy of which is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
