Amendment of Bylaws

 

On June 15, 2022, the Board of Directors (the “Board”) of Franklin BSP Realty Trust, Inc. (the “Company”) amended and restated the Company’s Amended and Restated Bylaws (the “Bylaws”) to amend Article XIV of the Bylaws to permit the stockholders of the Company, by the affirmative vote of a majority of all votes entitled to be cast on the matter at a meeting of stockholders, to adopt, alter or repeal any provision of the Bylaws, and to make new Bylaws. A copy of the Bylaws, as amended and restated, is attached hereto as Exhibit 3.1 and is incorporated herein by reference.
