Entry into a Material Definitive Agreement.

Purchase Agreement

On May 22, 2023, Shutterstock, Inc. (the “Company”) entered into a Stock Purchase Agreement (the “Purchase Agreement”) with Meta Platforms, Inc. (“Meta”) pursuant to which Meta has agreed to sell, and the Company has agreed to purchase (the “Acquisition”), all of the issued and outstanding capital stock of Giphy, Inc. (“GIPHY”).

The consideration payable by the Company in connection with the Acquisition is $53 million in net cash, inclusive of working capital.

The Purchase Agreement contains customary representations, warranties and covenants by the Company and Meta that are subject, in some cases, to specified exceptions and qualifications contained in the Purchase Agreement.  The transaction is anticipated to close in June 2023, subject to customary closing conditions.

The Purchase Agreement is filed as Exhibit 2.1 to this Current Report on Form 8-K and incorporated herein by reference.
