Item 5.05. Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.

 

On August 13, 2019, the board of managers of Shepherd’s Finance, LLC (the “Registrant”) amended the Registrant’s Code of Ethics and Business Conduct (“Code of Ethics”), effective as of such date, to expand the scope of certain language dealing with when a conflict of interest may arise between the Registrant and its employees, officers, and managers.

 

The foregoing description of the amended Code of Ethics is subject to, and qualified in its entirety by, the full text of the amended Code of Ethics, which is incorporated herein by reference as Exhibit 14.1 to this Current Report on Form 8-K and is available on the Registrant’s website at www.shepherdsfinance.com.
