Item 1.01 Entry into a Material Definitive Agreement.

 

On February 28, 2022, Dario-Health Corp. (the “Company”) entered into a Securities Purchase Agreement (the “Purchase Agreement”) with institutional investors, pursuant to which the Company agreed to issue and sell to the investors in a registered direct offering priced at-the-market under Nasdaq rules (the “Offering”) an aggregate of 4,674,454 shares (the “Shares”) of the Company’s common stock, par value $0.0001 per share (the “Common Stock”), and pre-funded warrants to purchase an aggregate of 667,559 shares of Common Stock (the “Pre-Funded Warrants”). Each Share is being sold at an offering price of $7.49 per share, and each Pre-Funded Warrant is being sold at an offering price of $7.4899, for aggregate gross proceeds of approximately $40 million before deducting the Offering expenses. In addition, the investors have executed lock up agreements agreeing to a lock up period of three days. The Offering is expected to close on or about March 3, 2022, subject to satisfaction of customary closing conditions.

 

The Pre-Funded Warrants are exercisable at any time after the date of issuance. A holder of Pre-Funded Warrants may not exercise the warrant if the holder, together with any group that the holder is a member, would beneficially own more than 4.99% (or, at the election of the purchaser, 9.99%) of the number of shares of common stock outstanding immediately after giving effect to such exercise. A holder of Pre-Funded Warrants may terminate, increase or decrease this percentage by providing at least 61 days’ prior notice to the Company. A holder of Pre-Funded Warrant is also subject to a limitation on exercise of the Pre-Funded Warrant if such exercise would result in such holder, together with any group that the holder is a member, beneficially owning more 19.99% of the number of shares of common stock outstanding immediately before giving effect to such exercise, unless shareholder approval is obtained.

 

The Offering is being made pursuant to a Registration Statement (No. 333-260439) on Form S-3, which was declared effective by the Commission on November 11, 2021, as supplemented by a prospectus supplement dated February 28, 2022.

 

The representations, warranties and covenants contained in the Securities Purchase Agreement were made solely for the benefit of the parties to the Securities Purchase Agreement and may be subject to limitations agreed upon by the contracting parties.
