Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On May 27, 2021, the stockholders of Esquire Financial Holdings, Inc. (the “Company”) approved the Company’s 2021 Equity Incentive Plan (the “Plan”), which provides for the grant of stock-based awards to officers, employees and directors of the Company and Esquire Bank. A description of the material terms of the Plan is contained in the Company’s Definitive Proxy Statement for the Annual Meeting of Stockholders filed with the Securities and Exchange Commission on April 16, 2021 (the “Proxy Statement”). The description of the Plan is qualified in its entirety by reference to the plan document attached hereto as Exhibit 10.1, which is incorporated by reference into this Item 5.02.

Submission of Matters to a Vote of Securities Holders

The Annual Meeting of Stockholders of the Company was held on May 27, 2021.  The matters listed below were submitted to a vote of the stockholders through the solicitation of proxies, and the proposals are described in detail in the Company’s Proxy Statement.  Of the 7,829,815 shares outstanding and entitled to vote, 6,676,637 shares were present at the meeting in person or by proxy.  The stockholders elected all of the nominees listed in Proposal 1 and approved Proposal 2 and Proposal 3. The final results of the stockholders’ vote are as follows:
