Explanation of Responses:

1. This Form 3 is being filed by Manchester Explorer, L.P., Manchester Management Company, LLC, James E. Besser and Morgan C. Frank as 10% Owners, and by Messrs. Frank and Besser as Director.

2. The reported securities are directly owned by Manchester Explorer, L.P., a Delaware limited partnership ("Manchester Explorer").

3. Manchester Management Company, LLC, a Delaware limited liability company ("Manchester Management"), provides investment management services to Manchester Explorer. The reported securities may be deemed indirectly beneficially owned by Manchester Management as a result of it being the general partner of Manchester Explorer. The reported securities may also be deemed to be indirectly beneficially owned by James E. Besser, as a Managing Member of Manchester Management and by Morgan C. Frank, who serves as a portfolio manager and a consultant of Manchester Management. Each of the Reporting Persons disclaim beneficial ownership of the reported securities and warrants except to the extent of their pecuniary interest therein. Messrs. Besser and Frank are also Directors of the Issuer.
