Introductory Note

Unless otherwise indicated or unless the context requires otherwise, all references in this report to “we,” “us,” “our,” “our company,” “the company” or “Digital Realty” refer to Digital Realty Trust, Inc., together with its consolidated subsidiaries, including Digital Realty Trust, L.P., our “operating partnership.”

Item 8.01

Other Events.

On November 29, 2022, Digital Realty Trust, L.P. and Digital Realty Trust, Inc. entered into an underwriting agreement, dated November 29, 2022, with BofA Securities, Inc. and Citigroup Global Markets Inc., as representatives of the several underwriters named therein, in connection with a registered public offering of $350,000,000 aggregate principal amount of 5.550% notes due 2028 (the “notes”). The notes are a further issuance of the 5.550% notes due 2028 that the operating partnership issued on September 27, 2022 in the aggregate principal amount of $550,000,000 (the “initial notes”). The notes will be senior unsecured obligations of the operating partnership and will be fully and unconditionally guaranteed by Digital Realty Trust, Inc. The notes will be treated as a single series of securities with the initial notes under the indenture and will have the same CUSIP number as, and be fungible with, the initial notes. Upon the issuance of the notes, the outstanding aggregate principal amount of the 5.550% notes due 2028 will be $900,000,000. The notes will be issued at 99.208% of par value, with a coupon of 5.550% and will mature on January 15, 2028. The offering is expected to close on December 6, 2022, subject to customary closing conditions. A copy of the underwriting agreement is attached as Exhibit 1.1 to this Current Report on Form
