Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; compensatory Arrangements of Certain Officers.
On January 4, 2022, the registrant appointed Lisa Roger, 56, to serve as its Chief Financial Officer effective January 17, 2022. Ms. Roger previously served as the EVP Corporate Controller at FreshRealm, a fresh meals solution provider that partners with retailers, from May 2021 to December 2021. From March 2014 to May 2021, she held various positions with Fox Factory Inc., most recently as the Vice President, Accounting and Tax. Fox Factory Inc. is a designer, manufacturer and marketer of products and systems used primarily on bikes, side-by-sides, off-road vehicles and trucks, ATVs, snowmobiles, specialty vehicles and applications, motorcycles, and commercial trucks. Ms. Roger holds a BA, Economics and Business from University of California, Los Angeles and an MBA from University of California, Los Angeles Anderson Graduate School of Management, and is a Certified Public Accountant in the State of California (inactive status).
Ms. Roger will receive an annual base salary of $275,000 with eligibility to receive bonuses of up to 25% of this amount at the discretion of management, 7,693 shares subject to vesting requirements, and an eight-year stock option to purchase 15,385 shares of common stock at the closing price on January 17, 2022, which is also subject to vesting requirements.
