Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

William F. McKnight's term as a member of Northwest Bancshares, Inc.'s Board of Directors expired as of the Annual Meeting of Stockholders held on April 19, 2023. Mr. McKnight is retiring from the Board as he is not eligible under the Company's bylaws to stand for re-election due to the Company's mandatory retirement age provision for directors and not as a result of any disagreement with the Company. Mr. McKnight's service on the Board began in 2013.

The Annual Meeting of Stockholders was held on April 19, 2023. The matters listed below were submitted to a vote of the stockholders through the solicitation of proxies and the proposals are described in detail in the Company's definitive proxy statement for the Annual Meeting of Stockholders filed with the Securities and Exchange Commission on March 9, 2023.
