On January 5, 2024, Vivakor, Inc. (the “Company”), in accordance with the approval of the holders of a majority in interest of the Company’s outstanding shares delivered at the Special Meeting of the Company’s Shareholders held on November 10, 2023, filed a Certificate of Amendment (the “Amendment to Articles”) to the Company’s Amended and Restated Articles of Incorporation, as amended, with the Secretary of State of the State of Nevada effecting (i) the increase of the number of shares of capital stock the Company is authorized to issue to 215,000,000, comprised of 200,000,000 shares of common stock, par value $0.001 per share, and 15,000,000 shares of preferred stock, par value $0.001 per share, and (ii) certain changes to the federal forum selection provisions contained therein.
