Item 5.07. Submission of Matters to a Vote of Security Holders.

 

On August 31, 2022, InspireMD, Inc. (the “Company”) held its 2022 annual meeting of stockholders (the “Annual Meeting”). As of July 5, 2022, the record date for the Annual Meeting, there were 8,323,000 shares of common stock issued and outstanding and entitled to vote on the proposals presented at the Annual Meeting, of which 3,813,692, or 46%, were present in person or represented by proxy, which constituted a quorum. The holders of shares of the Company common stock are entitled to one vote for each share held. Set forth below are the final voting results for each of the proposals submitted to a vote of the Company’s stockholders at the Annual Meeting.

 

Proposal No. 1 — Election of Director.

 

The stockholders re-elected Michael Berman to serve on the Board of Directors, as a Class 2 director, for a term of three years or until his successor is elected and qualified. The votes were as follows:

Proposal No. 2 — Ratification of Auditors.

 

The stockholders ratified the appointment of Kesselman & Kesselman, a member of PricewaterhouseCoopers International Limited, as the Company’s independent registered public accounting firm for the 2022 fiscal year. The votes were as follows:
