Explanation of Responses:

1. Trent D'Ambrosio transferred 120,000,000 shares of common stock of the Company for estate planning purposes to an irrevocable trust that is managed by a third party and over which Mr. D'Ambrosio has no voting control. Since the transfer, on March 10, 2025, a reverse split of the Company's common shares was effected on a 1:1000 basis, resulting in his current ownership of 370,075 shares held in his personal name and beneficial ownership of another 23,201 shares of common stock held by his spouse.
