Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

On May 23, 2025, the Board of Trustees of Sterling Real Estate Trust (the “Trust”) appointed Megan E. Schreiner as Chief Financial Officer and Treasurer of the Trust, effective May 23, 2025. Ms. Schreiner has served as President of the Trust since January 1, 2024. Ms. Schreiner joined as a financial accountant of Sterling Management, LLC in August 2013. Prior to joining Sterling Management, LLC, she practiced as an auditor for a local CPA firm. Ms. Schreiner, age 39, received her Bachelor of Science degrees in Accounting and Finance from Minnesota State University Moorhead. She is a Certified Public Accountant (CPA) licensed in North Dakota.
