Item 5.07           Submission of Matters to a Vote of Security Holders.

The 2021 Annual Meeting of Shareholders (the “Annual Meeting”) of Bridgewater Bancshares, Inc. (the “Company”) was held on April 27, 2021. The record date for determination of shareholders entitled to vote at the Annual Meeting was March 2, 2021. There were 28,128,075 shares of common stock outstanding as of that date, with each such share being entitled to one vote. At the Annual Meeting, the holders of 23,521,145 shares, or approximately 84% percent of the outstanding shares, were represented in person or by proxy, which constituted a quorum for the Annual Meeting. The final results for each of the matters submitted to a vote of shareholders at the Annual Meeting, as set forth in the Definitive Proxy Statement, filed with the Securities and Exchange Commission on March 17, 2021, were as follows:

Proposal 1: The election of four (4) Class III director nominees to serve a three-year term until the 2024 Annual Meeting of Shareholders or until their successors are duly elected and qualified:
