On December 30, 2005, the Company issued 8,000,000 shares of its common stock to Mathew Rule in exchange for $8,000 cash in reliance on Section 4(2) and Rule 506 of Regulation D. No broker was involved and no commissions were paid on the transaction.

Mr. Rule does not have any plans or proposals that relates to or would result in any of the actions enumerated in Item 4 of Schedule 13D.
