Explanation of Responses:
1. The reported shares of the Issuer's Common Stock were acquired by Kai Chen, pursuant to a certain Stock Purchase Agreement (the "Agreement") between Zhongsen International Company Group, Ltd. ("Zhongsen"), Zhongsen's shareholder, and Issuer, dated October 26, 2007. Pursuant to the Agreement, at the closing on February 5, 2008, Zhongsen accquired 25,090,000 shares of the Issuer's Common Stock in exchange of 100% of outstanding shares of Zhongsen. As a result, Kai Chen was issued 11,700,000 of the Issuer's Common Stock.
