Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

(e) On September 19, 2025, Accuray Incorporated (the “Company”) entered into a consulting agreement with Jesse Chew, its Senior Vice President, Chief Legal Officer and Corporate Secretary, to assist in the transition of his responsibilities after his departure from the Company on September 19, 2025. Mr. Chew will provide consulting and transition services from September 19, 2025 through December 31, 2025 and is entitled to receive a retainer of $20,000 per month and continued vesting of his outstanding Company equity awards for the term of his consultancy, which is filed as Exhibit 10.1 hereto.

 

The foregoing description of the Consulting Agreement is a summary only and is qualified in its entirety by the full text of the Consulting Agreement, which is incorporated herein by reference.
