Item 1.01
Entry into a Material Definitive Agreement.

On May 22, 2025, Gyre Therapeutics, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Jefferies LLC, as representative of the several underwriters (the “Underwriters”), pursuant to which the Company agreed to issue and sell 2,222,222 shares of the Company’s common stock (the “Shares”), par value $0.001 per share, at a public offering price of $9.00 per Share (the “Offering”). In addition, the Company has granted the Underwriters an option for a period of 30 days to purchase up to an additional 333,333 shares of its common stock at the public offering price, less the underwriting discounts and commissions.

The Company estimates that net proceeds from the Offering will be approximately $18.5 million, after deducting the Underwriters’ discounts and commissions and estimated offering expenses payable by the Company. The Company intends to use the net proceeds from the Offering to advance its Phase 2 clinical trial of F351 in metabolic dysfunction-associated steatohepatitis-associated liver fibrosis in the United States, for research and development, manufacturing and scale-up, as well as for working capital and general corporate purposes.

The Offering was made pursuant to the Company’s shelf registration statement on Form S-3 (Registration No. 333-283237), which was filed on November 14, 2024 and was declared effective on November 22, 2024, as supplemented by a prospectus supplement, dated May 22, 2025, filed with the Securities and Exchange Commission on May 23, 2025.

The Offering is expected to close on May 27, 2025, subject to customary closing conditions. Pursuant to the Underwriting Agreement, the Company has agreed to indemnify the Underwriters against certain liabilities, including liabilities under the Securities Act of 1933, as amended, or to contribute to payments that the Underwriters may be required to make because of such liabilities.
