Item 5.03.     Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On June 8, 2023, the Board of Directors (the “Board”) of LivePerson, Inc. (the “Company”) adopted the Third Amended and Restated By-Laws, effective immediately, to update Article IV, Section 6 of the Company’s Second Amended and Restated By-Laws to conform to the Company’s Corporate Governance Guidelines, which permit the Lead Independent Director, in addition to the Chairman of the Board, Chief Executive Officer and President, to call special meetings of the Board. A copy of the Third Amended and Restated By-Laws, is filed as Exhibit 3.1 hereto and is incorporated by reference into this Item 5.03.
