Item 3.02. Unregistered Sales of Equity Securities.
On October 18, 2022, the Company completed a private placement (the “Private Placement”) to certain accredited investors (the “Purchasers”), of an aggregate of 4,400,000 shares (the “Shares”) of the Company’s common stock, $0.001 par value per share (the “Common Stock”), at a price of $1.00 per share for aggregate gross proceeds to the Company of approximately $4.4 million, before deducting estimated offering expenses payable by the Company, pursuant to the terms and conditions of the Securities Purchase Agreement, dated as of September 29, 2022 (the “Purchase Agreement”) described in the Company’s Current Report on Form 8-K, filed with the Securities and Exchange Commission (the “SEC”) on September 30, 2022. The Company issued the shares of Common Stock in reliance on the exemption from the registration provisions of the Securities Act of 1933, as amended, pursuant to Section 4(a)(2) and Regulation S thereunder.
The foregoing description of the Purchase Agreement does not purport to be complete and is qualified in its entirety by reference to the Purchase Agreement, a copy of which was filed as Exhibit 10.1 to the Company’s Current Report on Form 8-K, filed with the Securities and Exchange Commission (the “SEC”) on September 30, 2022, and is incorporated herein by reference.
