Item 5.07

Submission of Matters to a Vote of Security Holders.

On May 25, 2023, SBA Communications Corporation (the “Company”) held its 2023 Annual Meeting of Shareholders. At the 2023 Annual Meeting of Shareholders, the shareholders voted on (i) the election of three director nominees (Proposal 1), (ii) the ratification of the appointment of Ernst & Young LLP as the Company’s independent registered public accounting firm for the 2023 fiscal year (Proposal 2), (iii) the approval, on an advisory basis, of the compensation of the Company’s named executive officers (Proposal 3) and (iv) the approval, on an advisory basis, of the frequency of future advisory votes on the compensation of the Company’s named executive officers (Proposal 4). The results of the votes are set forth below.

The shareholders voted in favor of the election of the following director nominees as Class III directors for a term of office expiring at the 2026 Annual Meeting of Shareholders and, in each case, until his or her successor is duly elected and qualified.

Based upon the voting results of the advisory proposal on the frequency of future votes on executive compensation set forth in Proposal 4 above, the Company’s Board of Directors has determined that future advisory votes on executive compensation will be submitted to shareholders on an annual basis until the next required vote on the frequency of such votes.
